Square Integration Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you (the merchant or authorized representative) and BEB Technologies LLC, doing business as Birds Eye Brew("BEB," "we," "us," or "our"), governing your use of the BEB merchant platform and its Square OAuth integration ("Integration").

BEB is a direct-connect loyalty service. To use Square-powered features, you connect your Square account to BEB by authorizing BEB through Square's OAuth flow on the BEB merchant login page. BEB is not distributed through the Square App Marketplace; the OAuth connection is initiated from and managed by BEB at birdseyebrew.com.

By connecting your Square account to BEB, you agree to the terms of this Agreement. If you do not agree, do not connect your Square account. This Agreement supplements the general Merchant Terms of Service and Square Privacy Policy, which also apply.

1. Description of the Integration

The BEB Square integration enables BEB to receive transaction and order context from Square through authorized API access and webhook events, in order to support automatic loyalty point accrual for eligible purchases, reward redemption, merchant-configured reward settings, loyalty history, and related merchant and customer-facing loyalty features.

Square redemptions are processed through a BEB-hosted cashier page accessed on a separate device (such as a tablet, phone, or laptop) rather than directly within Square's POS interface. You are responsible for providing or arranging the device used to run the BEB cashier page at your location.

The Integration does not process payments on your behalf. All payment processing occurs through Square. BEB uses transaction context only to support loyalty workflows.

2. Account Registration and Square OAuth

To use the Square integration, you visit the BEB merchant login page at birdseyebrew.com, click "Sign in with Square," and authorize BEB through Square's OAuth flow. Upon successful authorization and location selection, BEB creates or updates your BEB merchant account automatically.

You represent that you have the authority to authorize this connection on behalf of your business and that doing so does not violate any agreement you have with Square or any applicable law. You are responsible for maintaining valid and authorized access to your Square account and for compliance with Square's own terms and developer policies.

3. License Grant

Subject to your compliance with this Agreement and the general Merchant Terms of Service, BEB grants you a limited, non-exclusive, non-transferable, revocable license to use the BEB platform and its Square integration solely for your internal business purposes in connection with the BEB loyalty service. This license does not include any right to sublicense, resell, modify, reverse engineer, or create derivative works of any part of the BEB platform.

4. Data Access and Authorization

By authorizing the Square connection, you grant BEB permission to access and process Square data as described in the Square Privacy Policy. This includes merchant identifiers, location identifiers, order and transaction context, catalog or item information, webhook and event data, and limited customer association context needed to support loyalty workflows.

5. Cashier Device and Redemption

Unlike some integrations, the BEB Square integration does not embed a redemption interface directly inside Square's POS. Reward redemptions are handled through the BEB cashier page, which is a separate web page accessible on any device with a browser. You are responsible for providing, maintaining, and securing the device used to access this page at your location.

BEB may offer an optional tablet rental service for merchants who prefer to use a BEB-provided device. Tablet rental is subject to separate pricing terms and, if applicable, a separate subscription agreement. BEB is not responsible for damage, loss, or misuse of any rented equipment at your location.

Per-location platform subscriptions (required for a store to appear on the consumer map and award points) are governed by our Merchant Terms of Service, including a 30-day wind-down period after you cancel a location subscription.

6. Acceptable Use

You agree to use the Integration only for its intended purpose of supporting the BEB loyalty program for your business. You agree not to:

• • Use the Integration in violation of applicable law or regulation
• • Attempt to access, modify, or interfere with the Integration beyond your authorized permissions
• • Use the Integration to facilitate fraud, abuse, or misleading practices toward your customers
• • Attempt to reverse engineer, decompile, or extract source code from any BEB software
• • Share access credentials or allow unauthorized third parties to use your connected account
• • Submit false or misleading information through your merchant account or in connection with the integration

7. Merchant Responsibilities

You are responsible for your business operations, staff activity, and your customers' experience in connection with the loyalty program. You are responsible for notifying BEB promptly if you become aware of unauthorized access to your connected Square or BEB account.

8. No Payment Processing

Nothing in this Agreement makes BEB a payment processor, payment facilitator, or financial institution in connection with your Square transactions. BEB does not touch, move, hold, or process payment funds or card data. Responsibility for payment processing, compliance with card network rules, and related financial obligations remains with you and your payment processor.

9. Intellectual Property

The BEB platform and integration, including their design, code, functionality, and content, are owned by BEB and protected by applicable intellectual property laws. Nothing in this Agreement transfers ownership of any BEB intellectual property to you. Feedback or suggestions you provide may be used by BEB without restriction or obligation to you.

10. Availability and Updates

BEB works to keep the Integration available and functioning correctly within the Square environment, but does not guarantee uninterrupted operation, error-free performance, or compatibility with every Square configuration, device, or future Square platform update. BEB may update, modify, or discontinue the Integration or any feature at any time.

11. Term and Termination

This Agreement remains in effect for as long as you use the Integration. You may disconnect your Square account from BEB through your BEB account settings at any time. BEB may suspend or terminate your access to the Integration, with or without notice, if you breach this Agreement, the general Merchant Terms of Service, or if BEB discontinues the Integration.

Sections that by their nature should survive termination — including intellectual property, disclaimer, limitation of liability, and data retention — will survive termination.

12. Disclaimer of Warranties

The Integration is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, BEB disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by applicable law, BEB shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or customer relationships, arising from or related to your use of or inability to use the Integration, even if advised of the possibility of such damages. BEB's total aggregate liability for any claim arising from or related to this Agreement shall not exceed the amounts paid by you to BEB, if any, in the twelve months preceding the claim.

14. Square's Platform

The Integration operates in connection with Square's platform. Square has its own terms of service, developer policies, and privacy practices that independently govern your use of Square. BEB is not responsible for Square's platform, API behavior, or any changes Square makes to its services. Your use of Square remains subject to Square's own agreements.

15. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Integration after an updated version becomes effective constitutes acceptance of the revised terms.
